1. Introduction

These Terms & Conditions (“Terms”) apply to sky-corporateservices.com (the “Website”), including its SKY Company Setup and SKY Financial Solutions sections. The Website is operated by SKY Corporate Services FZC LLC, a company registered in Ajman Free Zone, United Arab Emirates (“SKY”, “we”, “us” or “our”).

“You” and “your” refer to anyone who accesses the Website. Where you act for a business, they also refer to that business. Please read these Terms in full before using the Website.

2. Accepting These Terms

By accessing the Website or submitting an enquiry through it, you agree to these Terms and to our Privacy Policy (together, the “Legal Terms”). If you do not agree, please do not use the Website.

3. Purpose and Scope

The Website gives general information about our services and a way to request a quotation. Any service we provide to you is governed by the written quotation, engagement letter or service agreement we issue for it. If that document conflicts with these Terms, that document applies.

4. Our Services

Through the Website we describe services including:

• company formation in UAE free zones and on the mainland, including trade licences;
• visa and PRO services;
• VAT and corporate tax registration;
• assistance with corporate, personal and non-resident bank accounts;
• capital advisory through SKY Financial Solutions, covering SME and corporate lending, private credit, NBFI lending, working capital and bill discounting; and
• website and IT services.

Service descriptions are for information only and may change without notice.

5. Use of the Website

You must be at least 18 years old, or have the authority of the business you represent, to use the Website. You agree to use it only for lawful purposes and not to:

• submit false information or impersonate any person or organisation;
• post or send anything unlawful, abusive, defamatory or offensive;
• send unsolicited advertising or spam;
• attempt to gain unauthorised access to the Website, introduce viruses or malicious code, or disrupt its operation; or
• copy or collect content from the Website using automated tools.

We aim to keep the Website available at all times but do not guarantee it. Access may be suspended without notice for maintenance or for reasons beyond our control, and we may restrict access to anyone who breaches these Terms.

6. Intellectual Property

All content on the Website — including text, graphics, photographs, the SKY name and logo, page design and code — is owned by or licensed to SKY and is protected by copyright and trademark law.

You may view and print pages for your own non-commercial use. You may not copy, reproduce, modify, republish or distribute any content without our prior written permission, or remove any copyright or trademark notice.

Names and logos of free zone authorities, banks and other organisations belong to their owners. Their appearance on the Website does not mean they endorse us.

7. Enquiries, Quotations and Engagement

Submitting a form or message is a request for information, not a contract. Quotations are based on the information you give us and on authority fees at the time of issue, and remain valid for the period stated on them.

An engagement begins only once we have confirmed it in writing and received any payment required to start.

8. Fees and Payment

• Our professional fees are as set out in your quotation or engagement documents.
• Government, free zone, immigration and other third-party fees are set by those bodies, may change without notice, and are charged to you at cost.
• VAT is added where applicable.
• Payments are made in UAE Dirhams (AED) unless we agree otherwise, and any bank charges are paid by you.
• Fees paid to authorities are generally non-refundable once an application has been submitted. Refunds of our own fees, if any, depend on your engagement terms and the work already carried out.

9. Discounts and Promotional Offers

Offers shown on the Website, such as “Upto 25%” or “Flat 25%” discounts, apply to SKY’s professional service fees only. They do not apply to government, free zone, visa or other third-party fees.

Offers depend on eligibility, the package and jurisdiction you choose, and availability. They cannot be combined with other offers unless we say so, and we may change or withdraw them at any time. The discount that applies to you will be confirmed in your written quotation.

10. Client Due Diligence

UAE anti-money laundering laws require us to verify the identity of our clients and of their shareholders and ultimate beneficial owners. You agree to provide the documents and information we request for this, which may include passports, proof of address and source-of-funds details. Enhanced checks may apply in some cases.

We may decline or suspend a service if the information is not provided or if our checks raise concerns. In that case, fees for work already carried out are not refundable.

11. Authorities, Banks and Other Third Parties

Decisions on licences, visas, name reservations, bank accounts and financing are made solely by the relevant authorities, banks and lenders. We do not guarantee any outcome or timeline, and we are not liable for rejections, delays or changes in their requirements.

SKY Financial Solutions acts as an adviser and is not a bank or lender. Figures produced by tools on the Website, such as the funding estimator, are illustrative only and are not an offer of credit.

12. Third-Party Websites

The Website contains links to third-party websites for your convenience. We do not control those websites and are not responsible for their content, availability or privacy practices.

13. Privacy Policy

How we collect and use personal information is explained in our Privacy Policy, which forms part of these Terms.

14. Communications and Instructions

You agree that we may contact you by email, telephone or WhatsApp about your enquiry or engagement. Instructions we receive from the email address or phone number you have given us will be treated as coming from you, so please keep those accounts secure.

15. Disclaimer

Information on the Website is provided “as is” for general guidance. UAE laws, fees and procedures change often, and while we work to keep the Website accurate, we make no warranty that its content is complete, current or error-free. Please confirm details with us before relying on them.

16. Limitation of Liability

To the fullest extent permitted by UAE law, we are not liable for any indirect or consequential loss, or for any loss of profit, business or data, arising from your use of the Website or reliance on its content.

For services you engage us for, our total liability is limited to the professional fees you paid for the specific service concerned. Nothing in these Terms excludes liability that cannot be excluded by law.

17. No Legal, Tax or Financial Advice

Content on the Website is not legal, tax or financial advice. You should obtain independent professional advice for your circumstances. Specific advice is provided only under a formal engagement with us.

18. Entire Agreement, Severability and Assignment

The Legal Terms, together with any engagement documents, form the entire agreement between you and us about your use of the Website. If any provision is found invalid, the rest remain in effect. We may transfer our rights under these Terms; you may not transfer yours without our written consent. Our not enforcing a provision does not waive our right to do so later.

We may revise these Terms at any time. The revised version takes effect when it is posted here, and the “Last updated” date above will change. Your continued use of the Website after that means you accept the revised Terms.

20. Governing Law and Jurisdiction

These Terms are governed by the laws of the United Arab Emirates as applied in the Emirate of Ajman. The courts of Ajman have exclusive jurisdiction over any dispute arising from them or from your use of the Website.
